I'll second memtest ( http://www.memtest86.com/ ).  I had an old Athlon 
700MHz that I was loading Gentoo on and got *very* similar results.  
Then I ran memtest and found out that both sticks of PC100 memory were 
bad.    Unfortunately, that memory is more expensive than I think the 
motherboard/CPU is worth.
