Technically speaking if both cards are the same and and both are PCI then
you don't need the "append=..." line in lilo.conf.  It should Just Work.

If it doesn't then the driver is broken and you need to have a word with
the author.

Which driver do these cards use? (IIRC they use 8139too)

You said you're using 2.4.0.  That's kinda old by now :)  You should try
2.4.1 - you never know, it could be a known, fixed, problem.
